Sehr geehrte Klienten und Geschäftspartner Nach langer parlamentarischer Beratung haben sich die beiden Kammern des schweizerischen Parlaments geeinigt und die «grosse» Aktienrechtsrevision konnte verabschiedet werden. Da die Referendumsfrist unbenutzt verstrichen ist, liegt es nun am Bundesrat, den Zeitpunkt des Inkrafttretens zu bestimmen. Gesamthaft gesehen bringt die Revision einerseits Klarheit bei bestehenden Unsicherheiten und andererseits vor allem auch eine Modernisierung des seit 1991 in weiten Teilen unverändert gebliebenen Aktienrechts. So ermöglicht das neue Recht unter anderem eine flexiblere Handhabung des Kapitals, schafft die Voraussetzungen für ein effizienteres Handeln der Organe und berücksichtig den technologischen Fortschritt der Digitalisierung. Dear Clients and Business Partners, Following protracted parliamentary consultation, both chambers of the Swiss federal parliament have reached a consensus and have adopted the so-called "major" revision of company law. Since the referendum deadline has expired unused, it is up to the Federal Council to determine when the revised law should enter into force. Overall, the revision on the one hand clarifies existing uncertainties while on the other hand – and above all – it brings about a modernization of Switzerland's company law, many parts of which have remained unchanged since 1991. Among other things, the revised law permits a more flexible handling of capital, creates conditions under which company directors and officers can work more efficiently, and takes account of the technological advances made in the area of digitalization.
