Skadden, Hughes Hubbard advise Singapore’s Grab on world’s biggest SPAC merger

Skadden, Arps, Slate, Meagher & Flom and Hughes Hubbard & Reed have advised Grab Holdings, the largest ride-hailing and food delivery firm in Southeast Asia, on its agreement to merge with special-purpose acquisition company (SPAC) Altimeter Growth Corp.

This deal is expected to be the largest-ever U.S. equity offering by a Southeast Asian company, according to Reuters. Cooley counselled Morgan Stanley and JP Morgan while Morrison & Foerster acted for an institutional investor.

Following the Cabinet’s approval on 14 January 2020, a new state enterprise, National Telecom Public Company Limited or “NT”, was formed on 7 January 2021 by a merger of CAT Telecom Public Company Limited (“CAT”) and TOT Public Company Limited (“TOT”). NT has assets worth over THB300 billion in value including over 25,000 telecommunication towers nationwide, spectrum usages, under water cables, radio frequency, underground conduits, fiber optic cables, 13 data centres across the nation and international telecommunications infrastructure, with more than 17,000 employees.
